This End User License Agreement ("Agreement" or "EULA") is a binding legal agreement between you ("User," "you," or "your") and CADsuite, LLC ("CADsuite," "we," "us," or "our"). This Agreement governs your access to and use of the CADsuite platform, including all associated websites, applications, APIs, and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the Service.
If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.
Subject to your compliance with this Agreement, CADsuite grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:
The Service operates on a multi-tenant architecture where multiple organizations share the same infrastructure. Each organization's data is logically isolated by account. You agree not to attempt to access data belonging to other accounts or circumvent tenant isolation controls.
A. Ownership. You retain all rights, title, and interest in the data you submit to the Service ("Your Data"), including job records, documents, customer information, estimates, invoices, communications, and uploaded files. CADsuite does not claim ownership of Your Data.
B. License to CADsuite. You grant CADsuite a limited, non-exclusive license to host, store, process, and display Your Data solely as necessary to provide and improve the Service. This license terminates when you delete Your Data or close your account.
C. Responsibility. You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. You represent that you have all necessary rights and consents to submit Your Data to the Service, including any personal information of your customers, policyholders, or other third parties.
D. Backup. While we take reasonable measures to protect Your Data, you are responsible for maintaining your own backups. CADsuite is not liable for any loss or corruption of Your Data.

The Service, including all software, design, text, graphics, interfaces, and underlying technology, is owned by CADsuite and protected by copyright, trademark, and other intellectual property laws. This Agreement does not transfer any ownership rights to you.
The CADsuite name, logo, and all related marks are trademarks of CADsuite, LLC. You may not use our trademarks without prior written consent.
We welcome feedback and suggestions about the Service. Any feedback you provide may be used by CADsuite without obligation or compensation to you.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with this Agreement, including business data, technical information, and account credentials. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. CADsuite expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, CADsuite does not warrant that:
To the maximum extent permitted by applicable law, in no event shall CADsuite, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the cause of action or theory of liability, even if CADsuite has been advised of the possibility of such damages.
CADsuite's total aggregate liability for all claims arising out of or relating to this Agreement or the Service shall not exceed the greater of (a) the amounts you paid to CADsuite in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless CADsuite and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
A. Term. This Agreement is effective when you first access or use the Service and continues until terminated.
B. Termination by You. You may stop using the Service at any time. To close your account, contact us at the address below.
C. Termination by CADsuite. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of this Agreement, non-payment, or conduct that we reasonably believe is harmful to other users or the Service.
D. Effect of Termination. Upon termination, your license to use the Service immediately ends. We may delete Your Data after a reasonable retention period (no less than 30 days) following termination, unless otherwise required by law. Sections 4(A), 10, 11, 12, 13, 14, and 17 survive termination.
CADsuite reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on this page with a revised "Last Updated" date and, where practicable, by email or in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Agreement. If you do not agree to the changes, you must stop using the Service.
A. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.
B. Dispute Resolution. Any dispute arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association, or file a claim in the state or federal courts located in Colorado. You waive any right to a jury trial.
C. Entire Agreement. This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and CADsuite regarding the Service and supersedes all prior agreements and understandings.
D. Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
E. Waiver. The failure of CADsuite to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.
F. Assignment. You may not assign or transfer this Agreement without our prior written consent. CADsuite may assign this Agreement without restriction.
G. Force Majeure. CADsuite shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
