These Terms of Service ("Terms") govern your access to and use of the CADsuite platform, including all websites, applications, APIs, and related services (collectively, the "Service") operated by CADsuite, LLC ("CADsuite," "we," "us," or "our").
By creating an account, accessing the Service, or clicking "I Agree," you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, do not use the Service.
You must be at least 18 years old and capable of forming a legally binding contract to use the Service. The Service is intended for business use by contractors, insurance adjusters, appraisers, and related professionals. By using the Service, you represent that you meet these requirements.
A. Subscription Plans
Access to the Service is provided on a subscription basis. Subscription fees, plan features, and billing cycles are described at the time of purchase or on your account dashboard. Prices are in U.S. dollars unless otherwise stated.

We may change subscription fees upon at least 30 days' written notice. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

Subscription fees are non-refundable except as required by applicable law or as expressly stated in a written agreement with CADsuite. We do not provide refunds for partial subscription periods or unused features.
E. Free Trials
If we offer a free trial, we will notify you before the trial ends. If you do not cancel before the trial period expires, you will be charged the applicable subscription fee.

Subject to these Terms, CADsuite grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

C. Reference Library Use and Monitoring
The reference libraries are proprietary to CADsuite and represent a substantial investment. They are provided for use on your own files, not as a data source to be copied.
We monitor the volume of documents downloaded from these libraries. Accounts that download an unusually high number of documents in a single day are automatically flagged for review. Where a review indicates bulk extraction, copying, or redistribution rather than ordinary claims work, we may, at our sole discretion and without prior notice, rate-limit your access, suspend access to the libraries, or suspend or terminate your account under Section 15. Repeated or deliberate extraction may also result in a permanent ban and, where warranted, legal action.
Ordinary use will not trigger this. Adding documents to a library, or downloading what you need for the claims you are working, is expected and unaffected.
The Service offers optional integration with Google services, including Gmail. When you connect a Google account:
A. Ownership
You retain all ownership rights in the data, files, documents, and other content you upload or create within the Service ("Your Content"). CADsuite does not claim ownership of Your Content.
B. License to CADsuite
By uploading or entering Your Content into the Service, you grant CADsuite a limited, worldwide, royalty-free license to store, process, transmit, and display Your Content solely as necessary to provide the Service to you. This license ends when you delete Your Content or terminate your account.
C. Your Responsibilities
You are solely responsible for Your Content. You represent and warrant that:

If you enable AI features, you acknowledge that Your Content submitted for AI processing is transmitted to Anthropic's API. You represent that you have the right to submit such content for processing. CADsuite and Anthropic do not use your submitted content to train AI models.
The Service, including its software, design, text, graphics, logos, and documentation, is owned by CADsuite or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license described in Section 4.
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant CADsuite an unrestricted, perpetual, royalty-free license to use that Feedback for any purpose without compensation to you.
The Service may integrate with or link to third-party services, including QuickBooks Online (Intuit), Gmail (Google), Twilio, RingCentral, Vonage, and Anthropic. These integrations are provided as a convenience. CADsuite is not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is governed by their own terms and privacy policies.
CADsuite is not affiliated with or endorsed by Intuit, Google, Twilio, RingCentral, Vonage, or Anthropic unless expressly stated.
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Neither party will disclose Confidential Information to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for a period of three (3) years.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
CADsuite strives to maintain high availability of the Service but does not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice.
We will make reasonable efforts to notify you of significant changes that materially affect your use of the Service. Continued use after any modification constitutes your acceptance of the updated Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CADSUITE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CADSUITE DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS WILL BE CORRECTED.
AI-generated outputs (suggestions, drafts, analyses) are provided for informational purposes only and do not constitute professional, legal, financial, or insurance advice. You are solely responsible for independently verifying any AI-generated content before relying on it.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CADSUITE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF CADSUITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL CADSUITE'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO CADSUITE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless CADsuite and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any applicable law or third-party right; or (d) your gross negligence or willful misconduct.
A. Term
These Terms remain in effect as long as you have an active account or use the Service.
B. Termination by You
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access through the end of the paid period.
C. Termination by CADsuite
We may suspend or terminate your account immediately, with or without notice, if you: (i) violate these Terms; (ii) fail to pay fees when due; (iii) engage in conduct that we reasonably believe harms the Service, other users, or CADsuite; or (iv) become the subject of bankruptcy or insolvency proceedings.
D. Effect of Termination
Upon termination: (i) your license to use the Service ends immediately; (ii) you must cease all use of the Service; (iii) we may delete Your Content in accordance with our data retention practices described in the Privacy Policy. Sections 7, 12, 13, 14, 16, and 17 survive termination.
A. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions.
B. Informal Resolution
Before filing any legal claim, you agree to contact CADsuite at estimating@cadsuite.com and attempt to resolve the dispute informally for at least 30 days.
C. Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). The arbitration will be conducted in Colorado. Each party will bear its own costs unless the arbitrator determines otherwise. YOU AND CADSUITE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.
D. Exceptions
Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims related to intellectual property rights may be brought in state or federal courts located in Colorado.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date and, for significant changes, by sending an email to the address associated with your account. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
